The short version. Right now VexOps is a website where you can read about a product we’re building and join a waitlist. Use it lawfully, don’t try to break it, and remember that nothing here is a guarantee of when (or whether) the paid product will launch. When we open paid access, we’ll publish additional terms that apply to that.
These Terms of Service (“Terms”) govern your access to and use of the vexops.io website, the VexOps waitlist, and any related services (the “Services”) operated by Vex Operations (“VexOps,” “we,” “us”). By accessing or using the Services, you agree to these Terms. If you don’t agree, please don’t use the Services.
1. Eligibility
You must be at least 16 years old to use the Services. If you’re using the Services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
2. The Services
VexOps is currently in a pre-launch phase. The Services consist of:
- The vexops.io marketing website, including blog content and vertical landing pages
- A waitlist signup that allows you to register interest in the upcoming VexOps product
- Email communications about the product, including launch notifications, early-access invitations, and occasional product updates you signed up for
We are actively building the paid VexOps software product. Nothing on the Services constitutes a binding commitment to deliver any specific feature, on any specific date, at any specific price. When paid services become available, they will be governed by additional terms (e.g. a subscription agreement) that you’ll be asked to accept separately.
3. Your Account and Information
When you join the waitlist or contact us, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information as it changes
- Use a real email address you control (so we can actually reach you at launch)
We reserve the right to refuse, suspend, or remove waitlist registrations or other interactions that appear fraudulent, automated, abusive, or duplicative.
4. Your Submissions
When you fill out a form on the Services, you may share information including free-text comments about your business, your pain points, or your needs (“Submissions”). By submitting them, you grant VexOps a worldwide, non-exclusive, royalty-free license to use, store, reproduce, and analyze your Submissions for the purposes of:
- Responding to your inquiry
- Operating and improving the Services
- Understanding what features and problems matter to our future customers
- Producing aggregated or anonymized insights (e.g. “30% of waitlist members mentioned X as a pain point”) that don’t identify you
We will not publish or share your individual Submissions in a way that identifies you without your consent.
You represent that your Submissions are your own, do not infringe anyone else’s rights, and do not contain confidential information you’re not authorized to share. Please don’t paste client lists, NDAs, or PHI into our forms.
5. Acceptable Use
When using the Services, you agree not to:
- Use the Services for any unlawful, harmful, fraudulent, or infringing purpose
- Submit false, misleading, or impersonated information
- Use automated tools, bots, or scrapers to access the Services or submit forms
- Attempt to gain unauthorized access to the Services, our systems, or other users’ data
- Probe, scan, or test the vulnerability of the Services without our written permission
- Interfere with or disrupt the Services (e.g. denial-of-service)
- Copy, modify, distribute, or create derivative works of the Services or content, except as expressly allowed
- Use the Services to harass, abuse, defame, or harm others
- Resell, rent, or commercially exploit the Services without our written agreement
6. Intellectual Property
The Services, including all text, graphics, logos, software, design, and other content (the “Site Content”), are owned by VexOps or our licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes in accordance with these Terms.
The names “Vex,” “VexOps,” the VexOps logo, and related marks are trademarks of VexOps. Don’t use them without our written permission.
If you submit feedback, suggestions, or ideas about the Services, you agree we may use them without obligation or compensation to you.
7. Third-Party Services
The Services rely on third-party providers, including but not limited to WP Engine (hosting), Formidable Forms (form processing), and Google Site Kit / Google Analytics (analytics). Your use of the Services is also subject to those providers’ terms and privacy policies, where applicable. We don’t control and aren’t responsible for the practices of those third parties.
8. Privacy
Our Privacy Policy describes how we collect, use, and share information about you. By using the Services, you consent to those practices.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, VEXOPS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF DEALING.
We don’t warrant that the Services will be uninterrupted, secure, error-free, or that any defects will be corrected. We don’t warrant that the product roadmap, launch date, or pricing described on the Services will not change. Waitlist registration does not guarantee access to the paid product.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VEXOPS AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions don’t allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless VexOps and its officers, employees, and agents from any claim, loss, liability, expense, or damage (including reasonable attorneys’ fees) arising out of (a) your breach of these Terms, (b) your misuse of the Services, (c) your Submissions, or (d) your violation of any law or third-party rights.
12. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason — including if we believe you’ve violated these Terms. You can stop using the Services at any time, and you can ask to be removed from the waitlist by emailing hello@vexops.io.
Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and dispute resolution) will survive.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we’ll change the “Last updated” date at the top. If the changes are material, we’ll provide reasonable notice (for example, by email to waitlist members or a notice on the Services). Continued use of the Services after the changes become effective constitutes acceptance.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of [YOUR STATE], United States, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Services is the state and federal courts located in [YOUR COUNTY, YOUR STATE], and you consent to the personal jurisdiction of those courts.
This Section does not deprive you of any mandatory consumer protections under the law of the jurisdiction where you reside.
15. Miscellaneous
These Terms, together with the Privacy Policy and any additional terms you accept (e.g. a future subscription agreement), constitute the entire agreement between you and VexOps regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or asset sale.
